Terms of Service

These Terms of Service ("Terms") govern your access to and use of BlitzMCP, a software-as-a-service platform operated by Holladay Digital LLC ("we", "us", or "our") at https://blitzmcp.net. By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Description of Service

BlitzMCP is a platform that allows users to import API specifications, generate Model Context Protocol (MCP) endpoints, and connect AI assistants to external APIs. The service includes a web dashboard, API gateway, and associated developer tooling.

2. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and API tokens. You must notify us immediately at contact@blitzmcp.net if you believe your account has been compromised. We are not liable for any loss or damage arising from unauthorized access to your account.

You may not create accounts for others without their consent, share accounts between multiple individuals, or use automated means to create accounts.

3. Acceptable Use

You agree not to use BlitzMCP to:

  • Violate any applicable law or regulation;
  • Infringe the intellectual property rights of any third party;
  • Transmit malware, viruses, or other malicious code;
  • Attempt to gain unauthorized access to any system or network;
  • Probe, scan, or test the vulnerability of our systems;
  • Interfere with or disrupt the integrity or performance of the service;
  • Generate, store, or transmit content that is illegal, harassing, defamatory, or obscene;
  • Resell or sublicense access to the service without our written permission.

We reserve the right to suspend or terminate your account immediately for violations of this section.

4. Billing and Payments

Paid plans are billed monthly in advance. All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

API call quotas. Each plan includes a monthly allowance of API calls. Unused calls do not roll over to the following month. You may purchase additional calls ("top-ups") at any time. Top-ups expire at the end of your current billing period unless a portion is carried forward under our rollover policy.

Plan changes. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and a prorated charge is applied. Downgrades take effect at the end of the current billing period; your existing quota is preserved until that date.

Refunds. All fees are non-refundable except as required by law or as we may determine at our sole discretion. If you believe a charge was made in error, contact us within 30 days at contact@blitzmcp.net.

5. API Credentials and Data

You may store upstream API credentials ("credentials") in the service to enable the gateway to call third-party APIs on your behalf. You represent that you have the right to use these credentials and that doing so does not violate any third-party terms of service.

Credentials are encrypted at rest using Supabase Vault. We do not access or share your credentials except as necessary to operate the service or as required by law.

You are solely responsible for the content and consequences of API calls made through the gateway using your account and tokens.

6. Intellectual Property

BlitzMCP and all related technology, trademarks, and content are owned by Holladay Digital LLC or its licensors. These Terms do not grant you any rights in our intellectual property except the limited right to use the service as described herein.

You retain ownership of all API specifications, content, and data you upload. By using the service, you grant us a limited license to process and store your data solely for the purpose of providing the service.

7. Uptime and Service Levels

We strive to maintain high availability but do not guarantee any specific uptime. The service is provided "as is" without warranty of any kind. Planned and unplanned maintenance may result in temporary unavailability. We will make reasonable efforts to notify users of scheduled downtime.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOLLADAY DIGITAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Holladay Digital LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

You may cancel your account at any time from the billing settings page. We may suspend or terminate your access to the service at any time for any reason, including but not limited to a violation of these Terms. Upon termination, your right to use the service ceases immediately. Sections that by their nature should survive termination will do so, including Sections 6, 8, 9, and 10.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to a jury trial or to participate in a class action lawsuit.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice in the service. Your continued use of the service after the effective date of the updated Terms constitutes your acceptance of those changes.
